Terms of Service

The agreement between you and us when you use the hosted service.

This is a translation provided for convenience. The Chinese version of this document governs; where the two differ, the Chinese text controls.

1. Scope

This agreement is between you ("the customer") and the company, covering the HERO hosted control-plane service ("the service"). Registering an account, placing an order, or using the service means you have read and accepted it.

The open-source, self-hosted edition of HERO is licensed separately under its own licence and is not covered here. This agreement governs only the service we operate.

2. What the service is

The service provisions a HERO control-plane instance that we operate, with its own subdomain and HTTPS certificate. That instance gathers the HERO nodes running on your own machines and provides a fleet-wide session view, user and permission management, and an audit log.

To be explicit about what it is not:

  • The service does not include a licence to use Claude Code, Codex, or any language model. You supply and sign in to those CLIs yourself, and pay their providers directly.
  • The machines that run coding agents (the nodes) are yours to supply and maintain; they are outside the service.
  • The service does not take over or alter your session content, and makes no warranty as to code produced or commands executed by an agent.

3. Accounts

You must supply accurate registration details and are responsible for everything done under your account. Keeping your credentials safe is your responsibility.

Tell us immediately if your account is compromised. Losses arising before we receive that notice and can act on it are yours to bear.

4. Fees and payment

The service is billed as a prepaid period per plan, at the price shown on the pricing page at the time of the order, denominated in CNY. We accept Alipay and WeChat Pay.

Nothing is auto-charged. We email you before a period ends; the service continues once you confirm and pay for the next one. Non-renewal is handled under §7.

The node and seat allowances in a plan are contractual. If you exceed them we contact you about upgrading; we do not interrupt service without notice.

For an invoice, submit a request from the console after payment with an accurate title and taxpayer identification number.

5. Your obligations

You agree not to use the service to:

  • carry out any activity that breaches the laws or administrative regulations of the People's Republic of China;
  • upload, store, or transmit content prohibited by law;
  • attack, scan, or penetrate the service or another customer's instance, or attempt to cross the isolation boundary between instances;
  • resell or sublet the instance, or share it beyond the plan's allowance with unauthorised people;
  • issue automated requests at a volume that affects the stability of the service.

You are responsible for the lawfulness of all data processed through your instance, including the code and session content on the machines where your nodes run.

6. Our obligations and limits on liability

We will use commercially reasonable efforts to keep the service available, and will handle maintenance and incidents as described in the Service Levels document.

The service is provided as-is. To the fullest extent permitted by law, we are not liable for:

  • unavailability caused by your nodes, your network, a third-party CLI, or a model provider;
  • interruptions caused by force majeure, infrastructure-provider failure, or government action;
  • code produced or commands executed by a coding agent, and their consequences;
  • losses arising because you did not maintain your own backups as recommended.

Our aggregate liability for the service will not in any case exceed the total fees you actually paid for it in the twelve months before the event giving rise to the claim.

7. Term, suspension, and termination

If a billing period ends without renewal, we proceed as follows:

  1. a renewal reminder 7 days before expiry and again on the expiry date;
  2. a 7-day grace period after expiry, during which the service works normally;
  3. the instance is suspended after the grace period, and its data retained for 30 days;
  4. after the retention period the instance and its data are deleted, irrecoverably.

You may stop using the service and ask us to delete the instance at any time. If you materially breach §5 we may suspend the service immediately and notify you; fees are not refunded in that case.

You can export your data before termination, and we will help you export it on request.

8. Intellectual property

Copyright and other intellectual property in the HERO software belong to the company and to the relevant upstream rights holders. Open-source components are licensed under their own licences, and nothing here limits the rights those licences grant you.

Data, code, and session content you process through the service remain yours. We acquire no rights in them by providing the service, beyond what is technically necessary to run it (such as storing and transmitting data so the instance can operate).

9. Changes to this agreement

We will give you at least 30 days' notice by email or in-product notice before a change takes effect. Continuing to use the service after that date means you accept the change; if you do not, you may terminate before it takes effect and request a refund under the Refund Policy.

A price change never affects a period you have already paid for.

10. Governing law and disputes

This agreement is governed by the laws of the mainland of the People's Republic of China as to its formation, validity, interpretation, and the resolution of disputes.

The parties will first attempt to resolve any dispute amicably. Failing that, either party may bring proceedings before the competent People's Court at the company's domicile.
